Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Review Social ("the App"), a Shopify application developed by Abandoned Revenue ("we," "us," or "our"). By installing, accessing, or using the App, you agree to be bound by these Terms.

2. Eligibility

To use the App, you must:

• Have an active Shopify store
• Have an active Judge.me account
• Be at least 18 years old or the age of majority in your jurisdiction
• Have the authority to bind your business to these Terms
• Comply with all applicable laws and regulations

3. Description of Service

Review Social is an automated social media content generation tool that:

• Receives product reviews from Judge.me via webhooks
• Generates AI-powered product images using Nanobanan (Google Gemini)
• Creates compelling social media captions
• Publishes content to your connected Instagram Business account
• Provides analytics and performance tracking

4. Subscription and Billing

4.1 Pricing Plans

We offer subscription-based pricing through Shopify's billing system. Current plans and pricing are available on our app listing page.

4.2 Billing Terms

• Charges are processed through Shopify's App Billing API
• Subscriptions renew automatically unless cancelled
• All fees are exclusive of applicable taxes
• Pricing may change with 30 days' notice

4.3 Free Trial

We may offer a free trial period. At the end of the trial, your subscription will automatically begin unless cancelled. No charges are made during the trial period.

4.4 Refund Policy

• Refunds are provided on a case-by-case basis within 14 days of charge
• No refunds for partial billing periods
• AI generation credits are non-refundable once used
• Contact support@abandonedrevenue.com for refund requests

5. User Responsibilities

5.1 Account Security

You are responsible for:

• Maintaining the confidentiality of your Shopify store credentials
• Securing your Instagram account access
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

5.2 Content Responsibility

You are responsible for:

• The accuracy of product information and reviews
• Ensuring you have rights to use product images
• Compliance with Instagram's Community Guidelines
• Reviewing AI-generated content before posting (if manual approval enabled)
• Any claims arising from posted content

5.3 Prohibited Uses

You may NOT use the App to:

• Generate fake or misleading reviews
• Post spam, offensive, or illegal content
• Violate any third-party intellectual property rights
• Circumvent usage limits or billing systems
• Reverse engineer or attempt to extract source code
• Resell or redistribute the service
• Use the service for competing products

6. Intellectual Property

6.1 Our IP

The App, including its code, algorithms, design, and documentation, is owned by Abandoned Revenue and protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of:

• Your product data
• Your reviews (sourced from Judge.me)
• Your store information

6.3 AI-Generated Content

Regarding AI-generated images and captions:

• You receive a non-exclusive, worldwide license to use generated content
• Generated content may not be unique (AI can create similar outputs)
• You are responsible for ensuring generated content complies with all laws
• We retain the right to use anonymized data to improve AI models

6.4 License Grant

You grant us a limited license to:

• Access and process your store data to provide services
• Use your reviews to generate social media content
• Store and transmit generated content to Instagram

7. Third-Party Services

The App integrates with third-party services. Your use is also subject to:

• Shopify: Shopify Terms of Service
• Judge.me: Judge.me Terms and Conditions
• Instagram (Meta): Instagram Terms of Use
• Nanobanan: Nanobanan Terms of Service

We are not responsible for third-party service changes, outages, or terms violations.

8. Service Availability and Support

8.1 Uptime

We strive for 99.5% uptime but do not guarantee uninterrupted service. Maintenance windows will be announced when possible.

8.2 Support

• Email Support: support@abandonedrevenue.com (response within 48 hours)
• Documentation: Available at /support/
• Business Hours: Monday-Friday, 9 AM - 6 PM EST

8.3 Service Modifications

We reserve the right to:

• Modify or discontinue features with 30 days' notice
• Update AI models and algorithms
• Change API integrations as needed
• Perform emergency maintenance without notice

9. Data and Privacy

Our collection and use of data is governed by our Privacy Policy. By using the App, you consent to our data practices as described.

10. Limitation of Liability

10.1 Service "As Is"

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability or fitness for a particular purpose
• Accuracy or reliability of AI-generated content
• Uninterrupted or error-free operation
• Security of data transmission

10.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ABANDONED REVENUE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages from third-party service failures (Shopify, Instagram, etc.)
• AI-generated content that violates third-party rights
• Instagram account suspension or penalties

Maximum Liability: Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

10.3 Indemnification

You agree to indemnify and hold harmless Abandoned Revenue from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the App
• Your violation of these Terms
• Content posted to your Instagram account
• Your violation of third-party rights

11. Termination

11.1 Termination by You

You may terminate at any time by:

• Uninstalling the App from your Shopify store
• Cancelling your subscription through Shopify
• Contacting support for manual termination

11.2 Termination by Us

We may suspend or terminate your access if:

• You violate these Terms
• Your account is involved in fraudulent activity
• You fail to pay applicable fees
• Your use harms our systems or other users
• We are required to do so by law

11.3 Effect of Termination

Upon termination:

• Your access to the App will immediately cease
• No refunds for unused subscription time (unless required by law)
• Your data will be deleted per our Privacy Policy (within 48 hours)
• Generated content already posted to Instagram remains

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.

12.2 Arbitration

Any disputes shall be resolved through binding arbitration rather than court proceedings, except:

• Claims for intellectual property infringement
• Claims under $10,000 (small claims court eligible)
• Injunctive relief requests

12.3 Class Action Waiver

You agree to resolve disputes individually, not as part of a class or representative action.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Abandoned Revenue.

13.2 Amendments

We may update these Terms with notice via:

• Email to your registered address
• In-app notification
• Posted notice on this page

Continued use after changes constitutes acceptance.

13.3 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

13.4 No Waiver

Our failure to enforce any right or provision does not constitute a waiver.

13.5 Assignment

You may not assign these Terms without our consent. We may assign our rights to any affiliate or successor.

14. Shopify-Specific Terms

As a Shopify app, we additionally comply with:

• Shopify's Partner Program Agreement
• Shopify's API Terms of Service
• Shopify's App Store Requirements

In case of conflict between these Terms and Shopify's requirements, Shopify's terms prevail.
